BYLAWS
OF
Bryan/College Station Chapter of the Texas 4 Wheel Drive Organization


These Bylaws, as amended and restated, shall govern the affairs of the Bryan/College Station chapter, a Texas Chapter of Texas Four Wheel Drive Organization

Article 1: Name

The Club shall be known as Bryan/College Station Texas 4 Wheel Drive or B/CS-TX4WD

Article 2: Nonprofit Purposes

The Club is organized and shall operate as a nonprofit organization for the purpose of:

1. Promoting interest and providing education in organized 4-wheeling as well as the safe and responsible use of off-highway vehicles (OHV);

2. Providing a social outlet for 4 wheel drive vehicle owners, and a family oriented atmosphere;

3. Participating in, and supporting civic activities for the betterment of the community;

4. To adhere to the principles and practices of United Four Wheel Drive Association (UFWDA), TreadLightly!, and Blue Ribbon Coalition (BRC)

Article 4: Officers

1. President
2. Vice President
3. Treasurer
4. Safety Officer
5. Event Coordinator

Officers shall be at least eighteen years of age, and reside in the Brazos Valley area of the State of Texas, own a four wheel drive vehicle and have active member status for at least one year.

Section 1: Election and Term of Office

The General Membership shall nominate and then meet, on the second Sunday of February, at 2:00 pm in the regular meeting area, to elect the officers for each fiscal year as outlined in these Bylaws. Nominations are accepted January 1 through February 1



A majority of votes (or the highest percentage in the event more than 2 people run for the same said position), cast to active members available at the February meeting shall name the President for the current year and the term shall last for one year.

Newly elected Officers shall take office on the fourth Sunday of February, of the current year. Each Officer shall hold office for a period of 1 year and/or until his or her successor is elected and qualifies.

Section 2: Meetings

Meetings shall be held monthly, on the second and fourth Sundays at the Brazos Off-road Ranch. Notice of meetings will be posted on the discussion board.

Section 3: Quorum for Meetings

A quorum shall be established by the officer(s) present at a regular meeting. Any and all present will constitute a quorum

Section 4: Conduct of Meetings

Meetings shall be presided over by the President or, in his absence, the Vice President. Meetings shall be called to order and a vote to adjourn must be agreed upon by the majority of the quorum.

Section 5: Removal and Resignation

Any Officer may be removed, with just cause, by a vote of no less than 100% of the members available at a quorum. In the case of a removal action. Notice of intent to remove must be given via WEB services at least 10 days before the regular meeting

Any officer may resign anytime unless notice specifies a later time for the resignation to take effect.

Article 5: Membership

B/CS TX4WD will have two types of membership, Active Member and Associate Member. Membership shall be free and no charge will be taken. Members must meet the qualifications set forth



Section 1: Qualifications

To qualify for Active Membership in the B/CS-TX4WD, an individual must own at least one four wheel drive vehicle; be at least 18 years of age and Members must conduct themselves in a respectable and orderly fashion. A member must also attend not less than four regular meetings per year and one official event. Any officer will have the right, in the case of hardship or otherwise, to supersede the above qualifications. All new members must fill out an application and sign a "Rules and Guidelines" Form saying that they fully understand the Organizations rules.

To qualify for an Associate Membership, an individual must be approved by both officers and a majority vote of a quorum at a regular meeting. The applicant should be a contributor in some way to the 4x4 community and be seen as a viable asset to hobby. The candidate need not be present. Associate membership will be reviewed yearly and voted at the Elections meeting in February.

Filling out an Application form is required by both types of membership before membership can be considered.

Section 2: Dismissal

Should a member violate any of the above rules or act in a manner that is not productive to the organization, their membership will immediately be suspended. At the next regular meeting, their membership will be discussed. After the discussion the officers will make a decision whether to re-instate their membership status or to keep the membership suspended and dismiss the member.

Article 5: Meetings of Members

Section 1: Place of Meeting

General membership meetings will be held at the Brazos Valley Off-road Ranch, located at 6250 Highway 47, Bryan, Tx 77801, or at such other place or places as may be designated from time to time by the Officers

Section 2: Regular Meetings

A regular meeting of members shall be held monthly, on the second and fourth Sunday of the month, at 2:00 pm., for the purpose of conducting regular business

Regular meetings are open to all interested individuals. Only members are eligible to vote.

A quorum shall consist of all members present at a regular meeting
